Terms & Conditions

The terms that apply when you use our website or buy our services. Plain English, no surprises.

These Terms and Conditions ("Terms") govern your use of monocerix.com (the "Website") and every service you buy from Monocerix, a brand of Unicorn Web Services, a sole proprietorship owned by Dinesh Khobragade, with its registered address at S. No. 45/A/4, Opposite Four Points by Sheraton, Vadgaon Sheri, Pune, Maharashtra 411014, India ("we", "us", "our"). By using the Website, accepting a quotation or making a payment, you ("you", "the Client") agree to these Terms.

1. Our services

We provide digital services, including website and mobile app development, ERP, CRM and invoicing software, search engine optimization (SEO), answer engine optimization (AEO), social media marketing, Meta and Google advertising management, and AI agent, automation and AI harness development. The exact deliverables for your project are set out in a written quotation or proposal (the "Quotation").

2. Quotations and acceptance

  • Prices on our pricing page are starting prices. Your final price is the one in your Quotation.
  • A Quotation is valid for 30 days from its date unless it says otherwise.
  • A project starts when you accept the Quotation in writing (including by email or WhatsApp) and we receive any advance payment it requires.
  • Work outside the agreed scope is a change request. We will quote it separately before starting it.

3. Prices and payment

  • All prices are in Indian Rupees (INR) unless the Quotation states another currency. For clients in India, GST and other applicable taxes are charged extra at the prevailing rate.
  • Unless the Quotation says otherwise, one-time projects are billed 50% in advance and 50% on delivery, or in milestones set out in the Quotation. Monthly services (such as SEO, social media or ads management) are billed in advance at the start of each billing month.
  • Online payments are processed securely by Razorpay Software Private Limited using UPI, debit and credit cards, net banking and wallets. We never see or store your full card details. Bank transfer is also accepted.
  • Invoices are due within 7 days unless stated otherwise. We may pause work on overdue accounts after giving you notice.
  • Third-party costs are separate from our fees and are paid by you, directly where possible. These include advertising spend paid to Meta or Google, domain names, hosting, software licenses, AI model usage, stock media and paid tools.

4. International clients

  • Clients outside India are quoted and invoiced in US Dollars (USD), or another currency agreed in the Quotation.
  • You can pay by international debit or credit card through Razorpay, or by international bank transfer (SWIFT/wire) to the account on your invoice.
  • Your bank's charges, intermediary bank fees and currency conversion costs are yours to pay, so that we receive the full invoiced amount.
  • Services supplied to clients outside India are export of services under Indian GST law. Where eligible, we invoice them without GST under a Letter of Undertaking (LUT).
  • You are responsible for any taxes, duties or withholding that apply in your own country. If you must withhold tax, please send us the withholding certificate.

5. Your responsibilities

  • Provide content, access, feedback and approvals on time. Delays on your side can move the delivery date.
  • Make sure any content, logos, data or material you give us is yours to use and does not infringe anyone's rights.
  • Keep login details we hand over secure, and review and approve work before it goes live.

6. Timelines and delivery

Timelines in the Quotation are estimates made in good faith and depend on timely input from you. All deliverables are digital and are delivered as described in our Shipping and Delivery Policy.

7. Ownership and intellectual property

  • When you have paid in full, you own the final deliverables made specifically for you, including designs, code, content and configuration.
  • We keep ownership of our pre-existing tools, libraries, templates and know-how, and grant you a perpetual license to use any part of them that is built into your deliverables.
  • Open-source and third-party components stay under their own licenses.
  • Unless you ask us not to, we may show non-confidential work in our portfolio.

8. No guaranteed results

Search rankings, AI citations, social media reach and advertising results depend on third parties such as Google, Meta and AI providers, which we do not control. We commit to doing the agreed work to a professional standard, but we do not guarantee specific rankings, traffic, leads, sales or return on ad spend. AI systems can make mistakes, so you are responsible for reviewing their outputs and the approval rules you choose.

9. Confidentiality and data

Each party will keep the other's confidential information private and use it only for the project. We handle personal data as described in our Privacy Policy, and we are happy to sign a non-disclosure agreement on request.

10. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, revenue or data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project, or for monthly services, the fees paid in the three months before the claim.

11. Cancellation and termination

Either party may end a project or monthly service as described in our Cancellation and Refund Policy. We may also end a project immediately if you seriously breach these Terms, for example through non-payment or unlawful use of our work. Fees for work completed up to the termination date remain payable.

12. Acceptable use of the Website

You must not misuse the Website, attempt to gain unauthorised access to it, or use it to send unlawful or harmful content. Content on the Website is for general information only.

13. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts at Pune, Maharashtra have exclusive jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. The version on this page at the time you accept a Quotation applies to that project.
